Welcome to Planadar ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Planadar event management platform, including our website, mobile applications, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

We reserve the right to modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.

Account Creation

• You must be at least 16 years old to create an account
• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You may not share your account or allow others to access your account
• You are responsible for all activities that occur under your account

Account Security

• Notify us immediately of any unauthorized use of your account
• Use a strong, unique password for your account
• Enable two-factor authentication when available
• We are not liable for losses caused by unauthorized account use

Permitted Uses

You may use the Platform to:

• Create, manage, and promote events
• Register for and attend events
• Network with other users
• Access event schedules, documents, and resources
• Participate in discussions and community features

Prohibited Activities

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malware, viruses, or malicious code
• Spam, harass, or abuse other users
• Impersonate others or misrepresent your identity
• Scrape, crawl, or harvest data from the Platform
• Reverse engineer or attempt to access source code
• Use the Platform for unauthorized commercial purposes
• Interfere with or disrupt the Platform's functionality
• Create fake accounts or automate actions

Organizer Responsibilities

As an event organizer, you are responsible for:

• Providing accurate event information and timely updates
• Complying with all applicable laws and regulations
• Obtaining necessary permits, licenses, and insurance
• Ensuring event safety and accessibility
• Handling attendee data in compliance with privacy laws
• Honoring refund policies and commitments

Attendee Conduct

As an event attendee, you agree to:

• Follow event rules and organizer guidelines
• Treat other attendees with respect
• Not engage in disruptive behavior
• Respect intellectual property presented at events

Platform Fees

• Certain features may require paid subscriptions or one-time fees
• Prices are displayed in USD and exclude applicable taxes
• Payment information is processed securely through third-party processors
• Subscriptions auto-renew unless canceled before the renewal date

Event Payments

• Event organizers set their own ticket prices and refund policies
• Platform fees may apply to ticket sales
• Refunds are subject to the organizer's refund policy
• We are not responsible for disputes between organizers and attendees

Cancellations and Refunds

• Platform subscription refunds are provided according to our refund policy
• Event ticket refunds are determined by the event organizer
• Refund processing may take 5-10 business days

Platform Content

All content on the Platform, including text, graphics, logos, icons, images, audio clips, and software, is the property of Planadar or its licensors and is protected by copyright, trademark, and other intellectual property laws.

User Content License

By uploading or posting content to the Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your content in connection with operating and promoting the Platform.

You retain ownership of your content and may delete it at any time. However, cached or backup copies may persist for a reasonable period.

Trademark Usage

You may not use our trademarks, logos, or brand names without our prior written consent.

You are solely responsible for content you upload, post, or share on the Platform. You represent and warrant that:

• You own or have rights to use the content
• The content does not violate any laws or third-party rights
• The content does not contain harmful or offensive material
• The content is accurate and not misleading

We reserve the right to remove content that violates these Terms or is otherwise objectionable, without notice.

The Platform may contain links to third-party websites or integrate with third-party services (e.g., payment processors, video conferencing tools). We are not responsible for:

• The content, policies, or practices of third-party sites
• The functionality or security of third-party services
• Any damages resulting from your use of third-party services

Your use of third-party services is subject to their respective terms and policies.

To the fullest extent permitted by law:

• The Platform is provided "as is" without warranties of any kind
• We do not guarantee uninterrupted, error-free, or secure access
• We are not liable for indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid us in the past 12 months
• We are not responsible for events, event content, or interactions between users

Some jurisdictions do not allow limitation of liability for personal injury or certain warranties, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Planadar, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or actions on the Platform
• Events you organize or attend

Termination by You

You may terminate your account at any time by contacting support or using account deletion features. Upon termination, your access to the Platform will cease, and your data may be deleted according to our data retention policies.

Termination by Us

We may suspend or terminate your account if:

• You violate these Terms
• We suspect fraudulent or illegal activity
• Required by law or legal process
• The Platform is discontinued

We will provide reasonable notice when possible, but may terminate immediately for serious violations.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through:

1. Informal Resolution: Contact us to attempt good-faith resolution
2. Mediation: If informal resolution fails, disputes may be submitted to mediation
3. Arbitration: Binding arbitration in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules

You waive the right to participate in class actions or class arbitrations.

We may update these Terms from time to time to reflect changes in our practices, technology, legal requirements, or for other reasons. We will notify you of material changes by:

• Posting the updated Terms on the Platform
• Updating the "Last updated" date
• Sending an email notification (for significant changes)

Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you should discontinue use of the Platform.

• Entire Agreement: These Terms constitute the entire agreement between you and Planadar
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• No Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms; we may assign them without notice
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
